Client Services Terms
1. Acceptance of These Terms
These Client Services Terms ("Terms") are between the business receiving the services ("Client," "you," or "your") and Eternal Growth LLC, a Florida limited liability company ("Eternal Growth," "Company," "we," "our," or "us"). They govern your use of eternalgrowthleads.com and, together with the Software Services Agreement you sign with Eternal Growth (the "Agreement"), the services described below.
How you accept: By paying for the services (through a checkout page, payment link, or invoice), by using the services, or by signing a Software Services Agreement with Eternal Growth, you acknowledge that you have read and accept these Terms and authorize the recurring charges described in Section 5. Electronic signatures and electronic acceptance are valid and binding, consistent with the federal E-SIGN Act (15 U.S.C. § 7001) and Florida Statutes § 668.50.
Signed Agreement (if any): Some clients also sign a separate Software Services Agreement with Eternal Growth (the "Agreement"). If you have, the Agreement and these Terms are read together; if they conflict, the Agreement controls, and these Terms supplement it on any subject it does not address. If you have not signed one, these Terms alone govern the services.
What we retain: Eternal Growth retains any signed Agreement, the dated version of these Terms in effect when you accepted them, the identifying and billing information you provided, the transaction date and time, and the available HighLevel and Stripe transaction or subscription records. A copy of the applicable Terms version is available on request at connect@eternalgrowth.biz.
These Terms, together with any signed Agreement, are the complete and exclusive agreement between the parties regarding the services and replace any earlier discussions, proposals, or agreements. Any change to these Terms (or to a signed Agreement) for a specific client must be in writing and signed by both parties, except where these Terms expressly permit otherwise (for example, the price-change notice in Section 5.3).
2. Identification of the Client
The Client under these Terms is the business for which the services are purchased, as identified by the contact and billing information supplied at purchase and confirmed during onboarding (or, if you signed an Agreement, the business named in it). That business is the party bound by these Terms and responsible for all amounts due.
The person purchasing the services or signing the Agreement represents and warrants that they are at least 18 years of age and are duly authorized to bind that business. If no business is identified, that person is the Client and is personally responsible for all obligations under these Terms.
You must notify us promptly at connect@eternalgrowth.biz if the business name, entity structure, ownership, address, or primary contact changes.
3. Services
Eternal Growth provides the following, delivered through the GoHighLevel / LeadConnector platform:
- Software platform access: a dedicated account for managing leads, customer conversations, calendars, pipelines, reviews, and follow-up — including the unified inbox, opportunity pipeline, calendar, mobile application access, and a live reporting dashboard so activity and results can be monitored at any time.
- Initial build (one-time, included in the monthly fee): your website and the automations described in Section 6 — missed-call text-back, new-lead follow-up (including immediate form and chat-widget responses), and review requests — configured for your business.
- Ongoing support: platform questions, account issues, and problems with the automations we built.
You and your staff operate the platform day to day. Eternal Growth provides the platform, the initial build, and ongoing support.
How automations actually run: Automations are not continuous or self-directing. Each automation runs only after (a) the applicable trigger event occurs, such as a missed call, form submission, chat message, pipeline stage change, or scheduled campaign start; (b) you have approved the campaign, message content, and offer; (c) you have supplied the necessary data, such as contact records, business information, and service details; and (d) the consent required for that specific communication has been obtained and remains valid. If a trigger does not fire, approval is not given, data is missing, or consent is absent or revoked, the corresponding automation will not send.
Not included: Eternal Growth does not provide ongoing marketing management, paid advertising management (e.g. Meta Ads, Google Ads, TikTok Ads), social media management, live call answering, or appointment setting. The following are outside the standard subscription and are quoted in writing before any work begins: custom development, new integrations, campaign writing, pages beyond the agreed website scope (Section 6), data migration from another CRM, and redesigns beyond the included revision rounds.
Support and communication: Communication is by email at connect@eternalgrowth.biz and by phone. To speak by phone, email us to request a call and we will arrange a time. Our hours are 9:00 AM to 5:00 PM Eastern, Monday through Friday. We typically respond to email within 24 to 48 hours, excluding weekends and standard public holidays. Support covers platform questions, account issues, and problems with the automations we built; it does not cover custom development, new integrations, campaign writing, or work outside this Section and Section 6.
Client obligations: You agree to (a) provide accurate, complete, and current business information and all content, photos, branding, and account access needed to complete the build, or authorize us to source appropriate stock imagery where you have none; (b) respond to requests for information, approvals, or feedback within two (2) business days; (c) keep your login credentials secure, turn on multi-factor authentication where the platform offers it, and keep your business information current; (d) reply to your own leads and customers, handle your own sales and service, and take responsibility for the accuracy of the data you enter; and (e) notify us promptly of changes to your business information, services, or service areas.
Geographic scope: Services are designed for US-based businesses. Eternal Growth makes no representations about compliance with laws outside the United States.
Third-party platform changes: If GoHighLevel or another underlying platform materially changes, discontinues, or restricts a feature affecting the services, Eternal Growth will make reasonable efforts to provide equivalent functionality. If equivalent functionality is not possible, either party may end the subscription under the cancellation terms in Section 17. Eternal Growth may otherwise modify, add, or discontinue specific service features with reasonable notice.
4. Launch Timeline
7 to 14 days is a target, not a guarantee. Eternal Growth targets launch within seven (7) to fourteen (14) calendar days. That period does not begin at purchase. It begins only once you have supplied all of the following: website content and photos, complete business information, account and platform access, required approvals, and any third-party integrations we have requested.
The target expressly excludes, and is extended day-for-day by, any time attributable to:
- A2P 10DLC brand and campaign registration, review, and approval
- Domain registration, transfer, or DNS propagation
- Third-party account approvals, reviews, or provisioning by platforms, carriers, registrars, or payment processors
- Delays caused by you, including late content, late approvals, missing access, or your own response time
Failure to meet the target for any excluded reason is not a breach of these Terms and does not entitle you to a refund or credit.
5. Payments & Billing
Your subscription is month-to-month with no minimum term. Billing consists of two separate components, both authorized by you when you purchase the services (Section 1).
5.1 What you pay
- Monthly service fee: $297.00, due every thirty (30) days and automatically charged to the payment method on file, for the services described in Sections 3 and 6. Your payment information is stored with our payment processor and kept on file for future charges.
- Actual platform usage (billed separately): Usage consumed by your GoHighLevel sub-account is billed separately from the $297 subscription and is not included in it.
- Third-party charges at cost: Phone numbers, email sending, SMS and MMS messaging, voice calling, AI features, domain registration and renewal, A2P 10DLC registration and campaign fees, and any other third-party service you enable are passed through to you at cost, with no markup by Eternal Growth.
- Taxes: Applicable federal, state, and local taxes, along with regulatory and carrier surcharges, are your responsibility on all taxable charges.
- Processing fees: Eternal Growth absorbs ordinary Stripe processing fees on the $297 subscription. You are not surcharged for ordinary card processing.
5.2 How the usage wallet works
Important — the usage wallet charges your card separately. Platform usage is funded through a prepaid wallet maintained by GoHighLevel / LeadConnector. When the wallet balance falls below its recharge threshold, the wallet automatically charges your payment method on file to recharge it.
That recharge uses the same card you provide at purchase, but it is a separate charge on a separate schedule. It will not necessarily appear as part of your $297 monthly transaction, and it may occur at any time during the month, including more than once in a month, depending on your usage volume. You may therefore see two or more distinct charges from us or our platform on your statement in a given billing period.
By purchasing the services, you separately authorize both (a) the recurring $297 monthly service fee and (b) recurring, variable usage-wallet recharge charges to the same payment method, in the amounts and at the frequency required by your actual usage. Any negative usage balance at cancellation will be charged to the payment method on file.
Wallet recharge amounts and thresholds are set by the platform and by your usage volume. Usage rates are published by GoHighLevel and are subject to change by the platform and its carriers. We will provide usage detail on request. If you want a spending cap or advance notice threshold, contact us and we will configure what the platform supports.
5.3 Billing administration
- Billing cycle: The $297 fee is charged every thirty (30) days from your effective date and renews automatically until cancelled (see Section 17).
- Payment method: Payments are processed through Stripe and/or GoHighLevel payment links. By paying, you also agree to Stripe's Terms of Service and any applicable payment processor terms.
- Failed payments: If a payment fails, we will notify you and retry the charge. 7 days past due: the account is suspended. 14 days past due: second written notice. 30 days past due: your subscription terminates and your account and all data in it are permanently deleted (see Section 13.5). Suspension does not pause or reduce amounts owed. A failed wallet recharge will stop outbound messaging, calling, and AI features until the wallet is funded.
- Price changes: We may change the $297 monthly fee with at least 30 days' written notice. A new price takes effect at the next renewal. Continued use after that date constitutes acceptance. Third-party usage rates may change without notice from us, because they are set by the platform and its carriers.
6. Website and Automation Build
One-time build, included in the monthly fee. At the start of your subscription, Eternal Growth builds your website and sets up the automations inside your account. There is no separate setup fee for the scope described in this section.
- Website scope: up to ten (10) pages, agreed in writing during onboarding, which may include a home page, service pages, service-area pages, a contact page, and the required Terms of Service and Privacy Policy pages. Each page is built using up to six (6) standard section layouts, with mobile and desktop versions, working call buttons, and a lead form, using the branding, photos, and copy you supply.
- Automations: missed-call text-back, new-lead follow-up, and review requests, configured for your business.
- Revisions: two (2) rounds of revisions on the website.
- Timeline: the launch target and its exclusions are described in Section 4.
- Beyond scope: pages beyond the agreed scope, and any other work outside these Terms, are quoted in writing first (see Section 3, "Not included").
The website and automations are built on Eternal Growth's templates and configurations and are licensed to you for the term of your subscription (see Section 12). This section describes what is built; it does not guarantee leads, revenue, search rankings, appointments, conversion rates, or any other business result (see Section 22).
7. Refunds & Payment Disputes
All payments are final and non-refundable once charged. Specifically:
- Fees for a billing cycle that has already begun are non-refundable.
- There are no partial refunds for unused portions of a billing period, unused services, or dissatisfaction with results.
- Cancellation does not entitle you to a refund of previously paid subscription fees.
- Third-party and pass-through charges — usage, wallet balances, domains, phone numbers, A2P fees, taxes and surcharges — are non-refundable once incurred.
Payment disputes: Nothing in these Terms waives, limits, or requires you to give up any right you have under applicable law, your card network rules, or your card issuer's policies to dispute a charge in good faith. You retain those rights in full.
You acknowledge that charges made in accordance with these Terms are authorized, and you agree to contact us at connect@eternalgrowth.biz regarding any billing concern before initiating a payment dispute or chargeback, so we can attempt to resolve it directly. You also agree not to initiate a chargeback or payment dispute that you know to be false, fraudulent, or made in bad faith — for example, disputing a charge for services you received and did not raise a good-faith objection to.
While a payment dispute is pending, Eternal Growth may suspend services and outbound messaging on the affected account. If a dispute is resolved in our favor and a court or arbitrator determines the dispute was knowingly false or made in bad faith, you are responsible for the disputed amount and the reasonable costs we incurred responding to it.
8. SMS Messaging Terms
By opting in to receive text messages from Eternal Growth LLC, you consent to receive SMS and MMS messages at the phone number you provide. You agree to the following terms:
Who sends messages: Eternal Growth LLC
Types of messages: Transactional messages include appointment reminders, account alerts, service updates, billing notifications, and follow-ups. Marketing messages include promotions, offers, tips, newsletters, and other commercial content.
Message frequency: Message frequency varies based on your interaction with our services and your account activity. You may receive multiple messages per week.
Costs: Message and data rates may apply depending on your mobile carrier and plan. You are solely responsible for any charges from your carrier.
Opt-out: You may revoke consent and opt out at any time by replying STOP, CANCEL, UNSUBSCRIBE, QUIT, or END to any message. You will receive a single confirmation message and no further texts will be sent.
Other ways to revoke consent: You may also revoke consent by any other reasonable method, including replying to a message in your own words, emailing connect@eternalgrowth.biz, calling (561) 652-2003, or telling us directly. We will honor any reasonable revocation request regardless of the words or channel used.
How fast we honor it: Opt-out and revocation requests are honored as soon as practicable and in all cases no later than ten (10) business days after receipt, consistent with FCC rules. Standard STOP keywords sent through our messaging platform are processed immediately and automatically.
Help: Reply HELP to any message for assistance, or email connect@eternalgrowth.biz.
Return calls: Our sending number accepts return calls.
SMS consent is not a condition of purchase. You are not required to consent to SMS messages to use our services, make a purchase, or submit a form on our website.
We will not share your phone number or SMS consent information with any third parties except as strictly necessary for message delivery (e.g., our SMS service provider and underlying telecommunications carriers). Your consent data will not be sold, rented, or shared for marketing purposes by any third party.
Supported carriers include but are not limited to: AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, and most major US wireless carriers. Service availability depends on your carrier's network and may not be available in all areas or on all carrier plans.
Carrier liability disclaimer: Wireless carriers including but not limited to AT&T, T-Mobile, and Verizon are not responsible for delayed or undelivered messages. Neither Eternal Growth LLC nor any mobile carrier shall be liable for any delays, failures, or errors in the transmission or receipt of SMS messages, regardless of cause, including but not limited to technical failures, network outages, or carrier limitations.
For information on how we collect, use, and protect your personal data — including phone numbers and SMS consent — please review our Privacy Policy.
9. Acceptable Use & Client Compliance Responsibilities
You agree not to use the services for any of the following:
- Sending unsolicited SMS or email messages (spam)
- Harassment, threats, or abusive communications
- Violations of the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Florida Telephone Solicitation Act (FTSA), or other applicable communications law
- Using deceptive sender information or misleading subject lines
- Conducting illegal or deceptive activities through the platform, or anything prohibited by the underlying platform or the carriers
- Interfering with, overloading, or attempting to gain unauthorized access to the platform
9.1 Your compliance responsibilities
You are the sender of every message sent from your account. Eternal Growth provides the platform; it is not the sender. As the sender of record for communications to your contacts, you are responsible for:
- A2P registration: Text messaging requires A2P 10DLC registration, which is made under your own legal business name and EIN. Eternal Growth may act as your authorized agent to submit it, but Eternal Growth is never the registered sender.
- Lawful lists and appropriate consent: Providing contact lists you obtained lawfully, with the form of consent that applies to the specific type of communication being sent. The required consent varies: informational and transactional messages to an existing customer generally require a different (and often lesser) basis than automated marketing calls or texts, which generally require prior express written consent under the TCPA. You are responsible for determining and obtaining the correct consent for each campaign, and we will help you configure it.
- Message approval: Reviewing and approving campaign messages, offers, claims, and pricing before they are sent. Nothing sends without your approval.
- Suppression and opt-out records: The platform automatically handles STOP and HELP replies. You are responsible for honoring opt-out requests received any other way — by email, by phone, in person, or in a contact's own words — and for maintaining accurate suppression lists across all channels.
- Purchased or scraped lists: Not uploading, importing, or messaging purchased, rented, harvested, or scraped contact lists unless you have a lawful basis and the required consent for the specific communication.
- Honest reviews, no gating: Requesting reviews from all eligible customers on the same basis, without review gating — you may not screen customers by expected sentiment, suppress requests to dissatisfied customers, offer compensation for positive reviews, or solicit fabricated reviews. Review practices must comply with FTC rules on consumer reviews and testimonials.
- Your own business: Your products and services, your claims, pricing, offers, and disclosures, your customer refunds and disputes, your customer communications, your licensing and insurance, and your compliance with all laws applicable to your business.
You represent that any contact list you import, upload, or otherwise bring into the account was obtained lawfully and carries the consent required for the messages sent to it. You should retain records of consent for the period required by applicable law and make them available to Eternal Growth on reasonable request if a complaint, carrier inquiry, or regulatory matter arises. Eternal Growth does not verify, audit, or confirm the consent status of your contacts and has no obligation to do so.
Eternal Growth may immediately suspend messaging from your account if it reasonably believes messages are being sent in violation of law, carrier rules, or these Terms. You are responsible for any fine, penalty, claim, or settlement resulting from messages sent from your account.
Violation of this section may result in immediate suspension or termination of your subscription. You agree to indemnify and hold harmless Eternal Growth LLC for all regulatory fines, penalties, claims, and legal costs arising from your contacts, your consent practices, your campaign content, or your misuse of the platform.
10. Integration Authority & Account Access
Authorization you grant: You authorize Eternal Growth, and its personnel acting on its behalf, to access, connect, configure, and administer the following on your behalf, solely to the extent necessary to set up, deliver, maintain, and support the services described in Section 3:
- Your CRM sub-account and its settings, workflows, and automations
- Your domain registrar and DNS records
- Your website, hosting, and website content
- Your calendars and booking configuration
- Your business phone system, phone numbers, and A2P 10DLC registration
- Your Google Business Profile and review management tools
- Your web forms, chat widget, and lead capture
- Your payment integrations, to the extent needed to connect them to the platform
This authorization is limited to what is reasonably necessary to provide the services. It does not authorize us to use your accounts for any unrelated purpose, to move funds, or to make changes to your business that are not part of the services. It remains in effect while your subscription is active and ends on cancellation or termination, except where continued access is required to complete a wind-down task you request.
Sub-account access: Your GoHighLevel sub-account is provisioned under Eternal Growth's agency account. You receive user-level access; Eternal Growth retains administrative access at all times while the subscription is active. You may not revoke, restrict, or interfere with that administrative access. If administrative access is blocked or removed, Eternal Growth may suspend services immediately, and billing continues until the subscription is formally cancelled.
Credentials: You are responsible for all activity under your account credentials and for the actions and omissions of any sub-users you authorize. Do not share credentials with unauthorized individuals. Eternal Growth is not liable for data loss, unauthorized access, or misuse caused by your users or by credential sharing.
11. Payment Integrations
You are the merchant of record. Where we connect a payment integration so you can collect payments from your customers, those payments are made to you, under your own merchant account and processor agreement. Eternal Growth is not a party to those transactions.
Accordingly, you are solely responsible for the products and services you sell, the prices you charge, your refund and cancellation policy, refunds and credits to your customers, chargebacks and disputes raised by your customers, all applicable sales and other taxes on your transactions, and your compliance with your processor's terms and applicable card network rules.
Eternal Growth does not hold, receive, control, direct, or have any claim to funds belonging to you or your customers. Payment integration availability depends on the platform and on your processor; some processors are not compatible, and Eternal Growth does not guarantee that any particular payment provider can be integrated.
12. Ownership & Licenses
12.1 What you own
- Your domain name. Domain names belong to you. If we registered a domain on your behalf, you may request its transfer before the termination date; you pay any transfer or renewal fees. We manage DNS while your subscription is active. A domain not transferred before the termination date may be allowed to lapse or be released.
- Your original content — photos, video, copy you provide, trademarks, and other materials you supply or own.
- Your customer data and business information — contacts, conversations, opportunities, pipeline records, appointments, and other business data you enter or that is generated through your use of the platform.
- Your phone numbers. Phone numbers belong to you. Eternal Growth will not block a valid port-out request made before the termination date, subject to carrier and platform porting rules and eligibility. You pay any porting fees. A number not ported before the termination date may be released. Numbers are registered for A2P 10DLC under your business identity; you are responsible for the accuracy of registration information you provide.
12.2 What Eternal Growth owns
The software platform is licensed from HighLevel and other third-party providers, who own the underlying technology. Nothing in these Terms transfers any right in that technology to you.
Eternal Growth owns, and retains all rights in, its own templates, snapshots, workflows, automations, campaign frameworks, design systems, and account configurations, including website templates and design systems, automation and workflow templates, CRM configurations and snapshots, campaign frameworks and message templates, design source files, and any underlying methods, know-how, and improvements. This includes the website and automations built for you, even after they have been configured for your business.
12.3 License while subscribed
- While your subscription is active and in good standing, Eternal Growth grants you a limited, non-exclusive, non-transferable, revocable license to use the platform, the website, and the automations built for you, solely for your own business operations, for the term of your subscription.
- You may not resell, sublicense, white-label, or give any other business access to the platform.
- Access ends at cancellation. On cancellation or termination, that license — including your right to use or publish the website and automations — and your access to the website, automations, workflows, and CRM configurations end. Eternal Growth does not currently offer a buyout or transfer of the website, the automations, or the account configuration. If a separate buyout or transfer option is offered in the future, it will be documented in a separate written agreement signed by both parties.
- You may not copy, reproduce, recreate, reverse-engineer, or create derivative works from Eternal Growth's templates, workflows, configurations, or design assets, during or after your subscription.
- Portfolio use: Eternal Growth may reference your business name, logo, and a description of services rendered in its portfolio and marketing materials, with your reasonable permission.
12.4 Limits on data export
Your data belongs to you, but the practical form of any export is limited to what the GoHighLevel / LeadConnector platform technically supports at the time of the request — generally CSV export of contacts, conversations, opportunities, and calendar records. Eternal Growth cannot export data the platform does not expose, and has no obligation to reconstruct, reformat, or rebuild data beyond the platform's native export capability. Websites, automations, workflows, and configurations are not exportable and are not provided as source files. Your ownership of your data does not make Eternal Growth responsible for retrieving, preserving, rebuilding, migrating, or delivering your data, website, automations, or account configuration at any time, including after the termination date.
13. Data, Security & Confidentiality
13.1 Confidentiality
Both parties agree to maintain the confidentiality of proprietary or confidential information disclosed during the relationship, including business strategies, customer lists, pricing, financial data, marketing plans, technical processes, and login credentials. Neither party will disclose the other's Confidential Information without prior written consent except as required by law; each party will use it only to perform under these Terms and will protect it with at least the same care it uses for its own confidential information. This obligation survives termination for two (2) years. Confidential Information excludes information that is or becomes public through no fault of the receiving party, was already known to it, was independently developed, or is disclosed under legal compulsion with reasonable notice where permitted.
13.2 Account security
Eternal Growth maintains commercially reasonable administrative, technical, and physical safeguards appropriate to the size of its operation, including access limited to personnel who need it, unique credentials, multi-factor authentication where the platform supports it, and prompt revocation of access when it is no longer needed. You agree to maintain reasonable security on your side: protect your credentials, enable multi-factor authentication where available, promptly remove access for departed employees and contractors, and notify us promptly if you suspect any credential compromise. No system is perfectly secure, and Eternal Growth does not warrant that the services or underlying platforms will be free of unauthorized access.
13.3 Subprocessors
You authorize Eternal Growth to use third-party service providers ("subprocessors") to deliver the services. Current subprocessors include GoHighLevel / LeadConnector (CRM, messaging, automation, hosting) and its underlying telecommunications and email providers, and Stripe (payment processing). Additional subprocessors may be used for hosting, domains, and analytics. Each subprocessor is bound by its own terms and privacy commitments. Eternal Growth is not responsible for the independent acts, security practices, uptime, or data handling of these platforms beyond selecting them in good faith and configuring them reasonably.
13.4 Breach notification
If Eternal Growth becomes aware of a confirmed security incident that compromises your Confidential Information or your customer data within systems we control or administer, we will notify you without undue delay and in any case within seventy-two (72) hours of confirming the incident. The notice will describe what we know about the nature and scope of the incident, the data categories involved, the steps taken, and recommended actions. Where an incident originates with a subprocessor, we will pass through the information we receive from that subprocessor as promptly as we receive it. You are responsible for any notifications you are legally required to make to your own customers or to regulators.
13.5 Data export and retention
Export your data before the termination date. You are responsible for exporting your own contacts, conversations, and calendar data before the termination date, using the export tools the platform provides (see Section 12.4). On the termination date, access ends and your account and its data are deleted, or scheduled for deletion, from the live platform. Eternal Growth is not responsible for retrieving, preserving, rebuilding, migrating, or delivering your data, website, automations, or account configuration at any point after the termination date.
Backups: Routine backups are performed by the underlying platform, not by Eternal Growth, and are operated on the platform's schedule and retention policy. Copies held in the backup systems of the underlying providers persist for those providers' own retention periods and are outside Eternal Growth's control. Backups exist for platform disaster recovery and are not a client-facing archival service. You are responsible for maintaining your own copies of data that is critical to your business, and we encourage periodic exports while your subscription is active.
Records we must keep: Notwithstanding deletion, Eternal Growth may retain, for as long as required by law or reasonably necessary to establish or defend legal claims: any signed Agreement and your acceptance record for these Terms, billing and tax records, consent and opt-out records relating to messaging compliance, correspondence, and records held in routine system backups until those backups expire in the ordinary course. Retained records remain subject to the confidentiality obligations in Section 13.1.
13.6 Client data and restricted data
You control your customer data. Eternal Growth processes that data only to provide the services described in these Terms. Eternal Growth will not sell or rent your customer data, will not use it for any purpose other than providing the services, and will not combine it with data from other sources. Eternal Growth shares your data only with the providers needed to deliver the services (Section 13.3), where required by law or legal process, and where reasonably necessary to enforce or defend these Terms. Eternal Growth will provide reasonable assistance if you receive a request from one of your own customers to access or delete personal information.
Restricted data: You may not enter or upload protected health information, Social Security numbers, full payment card numbers, financial account credentials, government identification numbers, or other highly regulated data into the account unless Eternal Growth agrees in writing in advance. The platform is not configured for HIPAA or PCI DSS compliance, and Eternal Growth does not act as a HIPAA business associate.
14. Client Content Representations
You represent and warrant that all content you provide — including images, text, testimonials, and reviews — meets the following requirements:
- You own the content or have obtained proper licenses for its use
- It does not infringe any third-party intellectual property, privacy, or publicity rights
- It is not defamatory, misleading, or fraudulent
- It complies with FTC endorsement and review guidelines, including proper disclosure of material connections in testimonials and endorsements
Eternal Growth has no duty to verify, audit, or review client-provided content for accuracy, legality, or compliance. You indemnify Eternal Growth for any claims, damages, or legal costs arising from client-provided content (see Section 16).
15. Limitation of Liability
To the maximum extent permitted by applicable law, the total aggregate liability of either party arising out of or related to these Terms, any signed Agreement, or the services shall not exceed the total fees paid by you to Eternal Growth LLC during the twelve (12) months immediately preceding the event giving rise to the claim. This limit does not apply to your obligations under Section 16, or to either party's gross negligence or willful misconduct.
Neither party is liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, regardless of the legal theory, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or data breaches caused by third-party platforms
- Business interruption or downtime
- Cost of substitute services
- Reputational harm
- Any damages arising from circumstances beyond our reasonable control
Eternal Growth LLC makes no guarantee of specific results, revenue increases, lead generation volumes, search engine rankings, or any particular business outcome. Results depend on your market, industry, competition, responsiveness, and factors outside our control.
These limitations apply to both parties equally, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), and even if a party has been advised of the possibility of such damages.
16. Indemnification
Client indemnification: You agree to indemnify, defend, and hold harmless Eternal Growth LLC, its owner, members, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
- Any content, data, contact lists, or materials you provide
- Your consent, opt-out, and messaging compliance practices
- Your use of the services in violation of these Terms or applicable law
- Your violation of any third-party rights, including intellectual property rights
- Any misrepresentation made by you, including as to your authority to bind the named business entity
- Your business operations, products, services, pricing, claims, refunds, and customer transactions
Procedure: Eternal Growth will give you prompt written notice of the claim and reasonable cooperation at your expense. You control the defense through counsel reasonably acceptable to Eternal Growth. You may not settle any claim in a way that admits fault by Eternal Growth, imposes any obligation or payment on Eternal Growth, or fails to fully release Eternal Growth, without Eternal Growth's prior written consent. A failure to give prompt notice relieves you of your obligations only to the extent you are actually prejudiced by the delay.
17. Cancellation & Termination
Cancellation by you: You may cancel at any time by sending written notice to connect@eternalgrowth.biz at least seven (7) days before your next renewal date. Cancellation takes effect at the end of the term you have already paid for and stops the next renewal, not the term in progress. Your access continues through the end of the period you have already paid for, unless services have been suspended for non-payment, misuse, a violation of Section 9, or a pending payment dispute. Payments already made for the current term are not refunded.
Termination by Eternal Growth: We may end your subscription if you materially breach these Terms and do not fix the breach within fifteen (15) days of written notice, or immediately if you violate Section 9 (acceptable use and messaging compliance) or Section 13.6 (restricted data). Non-payment is handled under Section 5.3. We may suspend services while a payment dispute is pending (Section 7) or if administrative access is blocked (Section 10).
Amounts that survive cancellation: Cancellation does not extinguish amounts already incurred. Outstanding platform usage, third-party pass-through charges, and applicable taxes remain payable after cancellation and become due on your final invoice. Any negative wallet balance or usage consumed but not yet charged will be billed to your payment method on file.
On termination, regardless of reason:
- Access to the platform, the website, automations, and CRM configurations ends on the termination date (see Section 12.3).
- Your account and its data are deleted, or scheduled for deletion, on the termination date. Export your data before then (see Section 13.5).
- Phone numbers and domains are handled as described in Section 12.1; port-out and transfer requests must be made before the termination date.
- Refunds are governed by Section 7. Outstanding balances, including unpaid usage, become immediately due and payable.
- Provisions that by their nature survive termination (including Sections 5, 7, 9, 11, 12, 13, 14, 15, 16, 18, 20, 21, 22, 23, and 24) survive.
No migration obligation: Eternal Growth has no obligation to migrate or rebuild websites, automations, or workflows on another platform. Data export is your responsibility per Section 13.5. Migration assistance is quoted as a separate project.
18. Dispute Resolution
BINDING ARBITRATION & CLASS ACTION WAIVER: Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Arbitration agreement: Any dispute, controversy, or claim arising out of or relating to these Terms, the services, or the relationship between you and Eternal Growth LLC — including disputes regarding the validity, scope, or enforceability of this arbitration provision — shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.
- Location: Arbitration shall be held in Palm Beach County, Florida.
- Costs: The prevailing party is entitled to recover its reasonable attorney's fees and costs.
- Judgment: Judgment on the arbitration award may be entered in any court of competent jurisdiction.
- Informal resolution: Before initiating arbitration, both parties agree to first attempt to resolve the dispute informally. Either party may start this by sending written notice describing the issue, and both parties will work in good faith for thirty (30) days. If it is not resolved in that time, either party may proceed with arbitration.
This section does not limit your right to dispute a charge in good faith with your card issuer as described in Section 7, or to bring a qualifying claim in small claims court.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Eternal Growth LLC. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.
Governing law: These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.
19. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the party's reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, government actions or regulations, power outages, internet or telecommunications failures, third-party platform outages (including GoHighLevel), cyberattacks, or labor disputes. The affected party shall promptly notify the other and make reasonable efforts to resume performance as soon as practicable.
Planned maintenance: Eternal Growth will use reasonable efforts to notify clients of planned service interruptions at least 24 hours in advance via email. Unplanned outages will be communicated as soon as practicable.
20. Notices & Communication
Communication between you and Eternal Growth is by email and phone. Written notices to Eternal Growth — including cancellation notices, billing concerns, and dispute notices — must be sent by email to connect@eternalgrowth.biz. Eternal Growth sends notices to the email address on file for your account, and you are responsible for keeping that address current. To speak by phone, email us to request a call and we will arrange a time.
21. Assignment
You may not assign or transfer your subscription or any rights or obligations under these Terms without the prior written consent of Eternal Growth LLC. Any attempted assignment in violation of this section is void.
Eternal Growth LLC may assign these Terms to a successor entity in the event of a merger, acquisition, or corporate restructuring, provided the successor assumes all obligations under these Terms.
22. Disclaimers
ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by law, Eternal Growth LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- We do not warrant that the services will be uninterrupted, error-free, or secure.
- We do not warrant that any specific results, revenue, leads, appointments, rankings, or business outcomes will be achieved.
- Results vary significantly based on your market, industry, geographic location, competition, responsiveness, and numerous other factors outside our control.
- We are not responsible for the performance, uptime, security practices, or business decisions of third-party platforms, including GoHighLevel, Stripe, registrars, or telecommunications carriers.
- Outages, downtime, maintenance, degraded performance, or changes made by those providers are expected from time to time and are not a breach of these Terms. Downtime does not reduce, pause, offset, or entitle you to a refund of any amount owed.
Any case studies, testimonials, or performance metrics displayed on our website or marketing materials represent individual results achieved under specific circumstances. They are not guarantees and do not represent typical or expected results for all clients.
23. Changes to These Terms
Eternal Growth LLC may modify these Terms. When we do, we will update the "Last Updated" date on this page, and for material changes we will make reasonable efforts to notify you by email at least 30 days before they take effect.
Your continued use of the services after the effective date of a change constitutes acceptance of the updated Terms. If you do not agree, you must cancel before your next renewal. The version in effect when you accepted these Terms, together with any versions you subsequently accepted or continued under, forms your agreement record (see Section 1). Changes to these Terms do not modify any signed Agreement; where they conflict, the Agreement controls (Section 1).
24. Severability
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. A failure to enforce any provision is not a waiver of it.
