These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Eternal Growth LLC, a Florida limited liability company ("Eternal Growth," "Company," "we," "our," or "us"). These Terms govern your access to and use of the website located at eternal-growth.surge.sh and all services provided by Eternal Growth LLC.
By accessing our website, subscribing to our services, or making any payment to Eternal Growth LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our website or services.
These Terms apply in addition to any individual service agreement executed between you and Eternal Growth LLC. In the event of a conflict between these Terms and a signed service agreement, the signed service agreement shall control.
Eternal Growth LLC provides CRM management and digital marketing services for service-based businesses. Our services include, but are not limited to:
Services are delivered through the GoHighLevel (GHL) platform. Specific deliverables, onboarding timelines, and service scope are outlined in individual service agreements with each client. Eternal Growth LLC reserves the right to modify, add, or discontinue specific service features at any time with reasonable notice.
Eternal Growth LLC does not provide advertising management services (e.g., Meta Ads, Google Ads, TikTok Ads). Any references to marketing services are limited to CRM-based marketing automation.
Client Obligations: By subscribing to our services, you agree to: (a) provide accurate, complete, and current business information (business name, address, phone, hours, service areas, licensing details); (b) respond to our requests for information, approvals, or feedback within 48 business hours; (c) supply photos, logos, testimonials, and other content needed for your website and marketing materials, or authorize us to source appropriate stock imagery; (d) maintain active and accessible GoHighLevel account credentials and cooperate with any platform requirements; and (e) notify us promptly of any changes to your business information, services offered, or service areas. Failure to meet these obligations may delay service delivery, and Eternal Growth LLC is not liable for delays caused by your failure to provide required information or access.
Scope of Services: The standard subscription includes: initial website build, standard CRM configuration, pre-built automation templates, and reasonable ongoing maintenance. The following are excluded from the standard subscription and available at additional cost: custom development, additional landing pages beyond the initial build, ad management, data migration from other CRMs, and unlimited redesigns. Requests exceeding standard scope will be quoted separately before work begins. Standard response time for support requests is 48–72 business hours.
Geographic Scope: Services are designed for US-based businesses. Eternal Growth makes no representations about compliance with laws outside the United States.
Third-Party Platform Changes: If GoHighLevel materially changes, discontinues, or restricts features that affect the services provided under these Terms, Eternal Growth will make reasonable efforts to provide equivalent functionality. If equivalent functionality is not possible, either party may terminate the subscription with 30 days' written notice without penalty.
You must be at least 18 years of age and legally authorized to enter into binding contracts to use our services or submit information through our website. By using our site or subscribing to our services, you represent and warrant that you meet these requirements. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
Our standard subscription fee is $297 per month. Your subscription operates on a month-to-month basis with no long-term commitment required.
ALL FEES ARE NON-REFUNDABLE. Once a billing cycle begins, the payment for that cycle is final and non-refundable, regardless of whether you use the services for the full period. There are no partial refunds for unused portions of a billing period.
Past payments are never refunded. If you cancel your subscription, you will not receive a refund for any prior billing cycles, regardless of how long you have been a client. This applies whether you cancel after one month or after twelve months.
By subscribing to our services, you expressly acknowledge and agree to the following:
Chargebacks: If you initiate a fraudulent or unwarranted chargeback or payment dispute with your bank or credit card company for a legitimate charge, you agree that you will be liable for the full amount of the charge, plus all fees and costs incurred by Eternal Growth LLC in responding to the dispute, including but not limited to chargeback fees, administrative costs, and reasonable attorney's fees. We reserve the right to immediately terminate your services and pursue collection of all amounts owed.
By opting in to receive text messages from Eternal Growth LLC, you consent to receive SMS and MMS messages at the phone number you provide. You agree to the following terms:
Who sends messages: Eternal Growth LLC
Types of messages: Transactional messages include appointment reminders, account alerts, service updates, billing notifications, and follow-ups. Marketing messages include promotions, offers, tips, newsletters, and other commercial content.
Message frequency: Message frequency varies based on your interaction with our services and your account activity. You may receive multiple messages per week.
Costs: Message and data rates may apply depending on your mobile carrier and plan. You are solely responsible for any charges from your carrier.
Opt-out: You may opt out of receiving text messages at any time by replying with any of the following keywords: STOP, CANCEL, UNSUBSCRIBE, QUIT, or END. Upon receipt, you will receive a single confirmation message and no further texts will be sent. Opt-out requests are processed within 15 days.
Help: Reply HELP to any message for assistance, or email connect@eternalgrowth.biz.
Return calls: Our sending number accepts return calls.
SMS consent is not a condition of purchase. You are not required to consent to SMS messages to use our services, make a purchase, or submit a form on our website.
We will not share your phone number or SMS consent information with any third parties except as strictly necessary for message delivery (e.g., our SMS service provider and underlying telecommunications carriers). Your consent data will not be sold, rented, or shared for marketing purposes by any third party.
Supported carriers include but are not limited to: AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, and most major US wireless carriers. Service availability depends on your carrier's network and may not be available in all areas or on all carrier plans.
Carrier liability disclaimer: Wireless carriers including but not limited to AT&T, T-Mobile, and Verizon are not responsible for delayed or undelivered messages. Neither Eternal Growth LLC nor any mobile carrier shall be liable for any delays, failures, or errors in the transmission or receipt of SMS messages, regardless of cause, including but not limited to technical failures, network outages, or carrier limitations.

You agree not to use the services provided by Eternal Growth LLC for any of the following prohibited activities:
Violation of this Acceptable Use Policy will result in immediate termination of your subscription without refund. You agree to indemnify and hold harmless Eternal Growth LLC for all regulatory fines, penalties, and legal costs arising from your misuse of the platform.
SMS Consent Responsibility: You are solely responsible for ensuring that all contacts in your contact lists and CRM have provided prior express written consent (PEWC) to receive automated text messages, as required by the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227) and the Florida Telephone Solicitation Act (FTSA, F.S. § 501.059). You must not upload, import, or provide contact lists that lack documented consent. You must maintain records of consent for a minimum of five (5) years and make them available to Eternal Growth LLC upon request. You acknowledge that TCPA violations carry penalties of $500–$1,500 per unauthorized text message and that you will indemnify, defend, and hold harmless Eternal Growth LLC from any and all claims, fines, penalties, lawsuits, and legal costs arising from your failure to obtain or maintain proper consent for automated communications sent through the platform.
Your GoHighLevel (GHL) sub-account is provisioned under Eternal Growth LLC's agency account. You will receive user-level access to your sub-account; Eternal Growth LLC retains administrative access at all times.
You may not revoke, restrict, or otherwise interfere with Eternal Growth LLC's administrative access to your sub-account. If administrative access is blocked or removed by you, Eternal Growth LLC may suspend services immediately, and billing will continue until the subscription is formally terminated.
Upon termination of your subscription, your sub-account will be deactivated. Sub-accounts are not transferred to clients or third parties under any circumstances.
For purposes of these Terms, we distinguish between two categories of data:
14-Day Data Export Window: Upon cancellation or termination of your subscription, you have 14 calendar days to request a CSV export of your contacts and conversation history by emailing connect@eternalgrowth.biz. After 14 days, your sub-account and all data will be permanently deleted. Eternal Growth LLC has no obligation to maintain your sub-account or retain any data beyond this 14-day window.
If Eternal Growth LLC registers a domain name on your behalf, the domain is registered in your name and is your property. Eternal Growth LLC manages DNS configuration during the term of your active subscription.
Upon cancellation or termination, you retain ownership of the domain; however, Eternal Growth LLC has no obligation to configure or manage the domain post-cancellation. You must complete any DNS transfer within 30 days of cancellation. Eternal Growth LLC is not responsible for domain lapses or issues arising after termination of the subscription.
Phone Numbers: Any business phone number purchased and registered by Eternal Growth LLC on your behalf through the GoHighLevel platform or its subprocessors (including Twilio) is owned by you. Upon termination of your subscription, you may request that the phone number be ported out to a carrier or service of your choosing. Eternal Growth LLC will initiate the porting process within thirty (30) days of receiving your written request. You are responsible for all costs associated with porting, including any fees charged by the receiving carrier. If you do not request porting within thirty (30) days of termination, Eternal Growth LLC may release the phone number. Phone numbers are registered for A2P 10DLC messaging under your business identity; you are responsible for the accuracy of all registration information provided.
All work product created by Eternal Growth LLC in connection with the services — including but not limited to websites, web designs, landing pages, written copy, graphics, logos, marketing automations, CRM configurations, workflows, templates, and any other deliverables — is and shall remain the sole and exclusive property of Eternal Growth LLC.
You represent and warrant that all content you provide to Eternal Growth LLC — including images, text, testimonials, reviews, and other materials — meets the following requirements:
Eternal Growth LLC has no duty to verify, audit, or review client-provided content for accuracy, legality, or compliance. You indemnify Eternal Growth LLC for any claims, damages, or legal costs arising from client-provided content (see Section 16).
You are responsible for all activity that occurs under your account credentials. You must not share your login credentials with unauthorized individuals.
If you grant sub-user access to employees, contractors, or other individuals, you remain fully responsible for the actions and omissions of those users. You agree to ensure that all authorized users comply with these Terms.
Eternal Growth LLC is not liable for any data loss, unauthorized access, or misuse of the platform caused by your users or by the sharing of your account credentials.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. "Confidential Information" includes but is not limited to: business strategies, customer lists, pricing information, financial data, marketing plans, technical processes, login credentials, and any other information designated as confidential or that a reasonable person would understand to be confidential.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is disclosed pursuant to a court order or legal requirement, provided reasonable notice is given to the disclosing party.
To the maximum extent permitted by applicable law, the total aggregate liability of Eternal Growth LLC arising out of or related to these Terms or the services shall not exceed the total amount paid by you to Eternal Growth LLC during the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Eternal Growth LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
Eternal Growth LLC makes no guarantee of specific results, revenue increases, lead generation volumes, search engine rankings, or any particular business outcome. Marketing and CRM results depend on numerous factors including your market, industry, competition, responsiveness, and factors outside our control.
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Eternal Growth LLC has been advised of the possibility of such damages.
Client indemnification: You agree to indemnify, defend, and hold harmless Eternal Growth LLC, its owner, members, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
Company indemnification: Eternal Growth LLC agrees to indemnify, defend, and hold harmless the Client from and against claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising directly from Eternal Growth LLC's gross negligence or willful misconduct in the performance of the services.
Either party may terminate the subscription by providing written notice before the end of the current billing cycle. Cancellations take effect at the end of the then-current billing period.
Upon termination, regardless of reason:
No migration obligation: Eternal Growth LLC has no obligation to migrate, transfer, or export work product (websites, automations, workflows) to any third-party platform. Data export for client business data (contacts, conversations) is available per Section 9. Migration assistance beyond data export will be quoted as a separate project. Eternal Growth LLC will not provide proprietary templates, workflow configurations, or design source files.
BINDING ARBITRATION & CLASS ACTION WAIVER: Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Arbitration agreement: Any dispute, controversy, or claim arising out of or relating to these Terms, the services, or the relationship between you and Eternal Growth LLC — including disputes regarding the validity, scope, or enforceability of this arbitration provision — shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Eternal Growth LLC. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.
Governing law: These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, government actions or regulations, power outages, internet or telecommunications failures, third-party platform outages (including GoHighLevel), cyberattacks, or labor disputes. The affected party shall promptly notify the other party and make reasonable efforts to resume performance as soon as practicable.
Planned maintenance: Eternal Growth LLC will use reasonable efforts to notify clients of planned service interruptions at least 24 hours in advance via email. Unplanned outages will be communicated as soon as practicable.
During the term of your subscription and for a period of twelve (12) months following termination for any reason, you agree not to directly or indirectly solicit, hire, engage, or attempt to solicit, hire, or engage any contractors, service providers, freelancers, consultants, or platform contacts that were introduced to you by or through Eternal Growth LLC, or that you became aware of through your business relationship with Eternal Growth LLC.
Violation of this provision entitles Eternal Growth LLC to seek injunctive relief and recover all damages, including lost profits and reasonable attorney's fees.
You may not assign or transfer your subscription or any rights or obligations under these Terms without the prior written consent of Eternal Growth LLC. Any attempted assignment in violation of this section is void.
Eternal Growth LLC may assign these Terms to a successor entity in the event of a merger, acquisition, or corporate restructuring, provided the successor assumes all obligations under these Terms.
ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by law, Eternal Growth LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Any case studies, testimonials, or performance metrics displayed on our website or marketing materials represent individual results achieved under specific circumstances. They are not guarantees and do not represent typical or expected results for all clients.
Eternal Growth LLC reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you via email or through our platform.
Your continued use of our website or services after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue use of our services and cancel your subscription before your next billing cycle.
